Terms and Conditions

Welcome to Metakey, an application that provides an efficient, user-friendly platform to facilitate booking and payment for parking spaces throughout Australia (Services). These terms and conditions explain our obligations as a service provider and your obligations as a customer making a casual car park booking through the Metakey platform.

PARTIES AND BINDING EFFECT

  1. This is a binding, legal agreement between the operator of the website located at metakey.com.au (Metakey Platform), Space Monkey Resource Management (Vic) Pty Ltd ABN 30 621 525 871 (Metakey), and each person who registers on the Metakey Platform to make casual parking bookings (Customer).
  2. By registering on the Metakey Platform, you agree to accept and be bound by these terms and conditions (together with the Privacy Policy and other policies referenced, which form the complete Customer Agreement).
  3. The Metakey Platform and the Services are continuously evolving, with regular updates made Metakey reserves the right to change the terms of this Customer Agreement at any time, effective upon the posting of modified terms.
  4. If a revision meaningfully reduces your rights, we will use reasonable efforts to notify you of the By continuing to use or access the Metakey Platform following notice of any revision, you will be deemed to have accepted any such revision.
  5. In the event there is any inconsistency between the Customer Agreement, the Privacy Policy or any other policies referenced, you agree that the Customer Agreement shall prevail, unless otherwise agreed to separately in writing by Metakey.
  6. In the event there is any inconsistency between this Customer Agreement and any information, representation or article available on or regarding the Metakey Platform and/or its Services, this Customer Agreement shall prevail, unless otherwise agreed to separately in writing by Metakey.
  7. As a Customer, you acknowledge that you have read and understood this Customer Agreement and have the authority to act on behalf of any person or entity for whom you are using the Service.

USE OF METAKEY PLATFORM AND SERVICES

  1. In consideration for Metakey permitting you to access and use the Metakey Platform and its Services, you hereby accept the terms of this Customer Agreement.
  2. To use the Metakey Platform, you must register as a By so registering, as the Customer, you agree to the following:
    1. all information you provide to Metakey is accurate and complete and not misleading;
    2. you must register a valid credit or debit card, or bank, building society or credit union account (Finance Account), and authorise Metakey to debit, under its name, such card or account to pay all booking fees and other amounts payable by you, in accordance with this Customer Agreement;
    3. all booking fees and other amounts payable by you, in accordance with this Customer Agreement, will be made in advance at the time of booking and will be charged to your Finance Account;
    4. you will not use the Metakey Platform or its Services for any purposes other than those clearly contemplated by Metakey in the operation of the Metakey Platform;
    5. it is your responsibility to ensure your own compliance with all applicable laws when using the Metakey Platform and its Services, and Metakey disclaims any responsibility and liability for this to the full extent permitted by law;
    6. you must observe all relevant local, state, territory and federal laws relating to the operation, occupation and use of the Metakey Platform and its Services;
    7. bookings may be made on a daily, multi-day, or four-weekly For the avoidance of doubt, a four-weekly booking period consists of four consecutive weeks and does not constitute a calendar monthly period;
    8. for all bookings a four-digit access code will be issued via a booking confirmation email by Metakey or the Metakey Platform. Each access code is single‑use per day and valid only for the specific booking period to which it Any attempt to reuse an access code, or to access the car parking space outside the booked date, or any attempt to share an access code, is unauthorised and constitutes a material breach of this Customer Agreement and may constitute an offence under applicable law;
    9. Metakey reserves the right to suspend, modify or permanently discontinue the Metakey Platform and/or its Services at any time at its discretion;
    10. it is your responsibility to keep the car parking spaces in good repair and condition at all times, and you must indemnify and hold harmless Metakey for any loss Metakey may suffer as a result of any damage to the car parking spaces, property in the car parking spaces or the building in which the car parking spaces are situated; and
    11. to the fullest extent permitted by law, Metakey disclaims all responsibility and excludes all liability for any loss, damage, liability, injury, or death suffered by the Customer in or around the car parking spaces, or within the building in which those car parking spaces are located. The Customer acknowledges and agrees that they are solely responsible for maintaining adequate motor vehicle insurance and must rely on such insurance for any loss or damage incurred.

COMPLAINT PROCEDURES

  1. If you wish to lodge a complaint about any matter in relation to the use of the Metakey Platform, its Services, the operation of your Account, or Metakey, you must notify Metakey in writing. You may do so by emailing info@metakey.com.au, including your full name, contact details, any information reasonably required for Metakey to verify your identity, and the full details of the complaint.
  2. Upon review, Metakey will investigate the complaint and provide you with written confirmation once the complaint has been investigated. You acknowledge and agree to allow Metakey a reasonable amount of time to provide you with such written confirmation.

FINANCIAL MATTERS

  1. In using the Services provided by Metakey and/or the Metakey Platform, you agree to pay all fees, charges and other amounts payable under this Customer Agreement by the due date, in full, without deduction, set-off or counterclaim, except to the extent that any such deduction or set-off is required by law
  2. Where Metakey reasonably suspects that you have breached this Customer Agreement, Metakey reserves the right to withhold or charge back to your Finance Account any amounts otherwise payable to you under this Customer Agreement, pending the outcome of Metakey's reasonable investigation of that suspected Metakey will notify you promptly of any such withholding or chargeback and will conduct its investigation within a reasonable time. Any amounts withheld that are subsequently determined not to be owing will be promptly released or refunded to your Finance Account.

WARRANTIES AND LIABILITY

  1. Customers acknowledge and accept the following:
    1. Metakey makes no warranties or representations as to the accuracy of the information of any kind displayed on the Metakey Platform or which is available to anyone using the Metakey Platform or its Services, and you bear all losses and damages incurred acting in reliance on that information;
    2. Metakey is entitled to process all transactions against your Finance Account in accordance with the authorisation you provide upon For the avoidance of doubt, Metakey will not debit your Finance Account unless and until you have provided that initial authorisation, and all subsequent transactions processed against your Finance Account are taken to be made pursuant to that authorisation;
    3. Metakey does not warrant that the Metakey Platform and its Services will be available for use, free of technical or functional errors, including the presence of "viruses", "trojans", "spyware", "adware", "bots" and other similarly harmful computer effects, nor that it will be available uninterrupted. Any losses you incur as a result, or because Metakey has chosen to temporarily or permanently suspend its Services and/or the Metakey Platform, are a risk borne by you;
    4. you are prohibited from violating or attempting to violate any security features of the Metakey Platform or Services, including, without limitation:
      1. accessing content or data not intended for you, or logging onto a server or account that you are not authorised to access;
      2. attempting to probe, scan, or test the vulnerability of the Services, the Metakey Platform, or any associated system or network, or to breach security or authentication measures without proper authorisation;
      3. interfering or attempting to interfere with service to any user, host or network, including, without limitation, by means of submitting a virus to the Metakey Platform or its Services, overloading, "flooding," "spamming”, "mail bombing", "hacking", and/or "crashing";
      4. forging any TCP/IP packet header or any part of the header information in any e-mail or in any posting using the Services; or
      5. attempting to modify, reverse-engineer, decompile, disassemble, or otherwise reduce or attempt to reduce to a human perceivable form any of the source code used by Metakey in providing the Metakey Platform or its Services;
    5. any violation of system or network security may subject you to civil and/or criminal liability;
    6. Metakey has no control over and does not warrant the accuracy of any third party content (including, without limitation, any of Metakey's partners, affiliates or sponsors), including websites that may be linked to or from the Metakey Platform and has no control over the content and performance of such third party sites;
    7. you bear any losses or damage however incurred for use or inability to use the Metakey Platform, or in reliance on third party content on the Metakey Platform or available from the Metakey Platform, and Metakey shall not, to the maximum extent permitted by law, be liable in any circumstances for any loss or damage howsoever incurred by you, in relation to the use of the Metakey Platform or its Services;
    8. Metakey provides the Metakey Platform and its Services on a purely 'as is' basis without warranty of any kind and without any express warranties and to the maximum extent permitted by Metakey (for its own benefit and on behalf of its officers and employees) expressly disclaims any and all liability and any warranties or guarantees, express or implied, regarding the Metakey Platform and its Services, including, but not limited to, any implied warranties or guarantees of fitness for a purpose, fitness for a purpose made known to you or non-infringement of third party rights;
    9. to the maximum extent permitted by law, in no event shall Metakey be liable for any loss or damages of any kind (including, but not limited to, consequential loss) arising out of or in connection with your use of the Metakey Platform or the Services and whether arising from breach of contract, tort or any other legal claim, and you agree to release Metakey from any such liability; and
    10. you hereby agree to release Metakey, the Metakey Platform and its affiliates, officers, directors, employees, consultants, agents and representatives (without limitation) from and against:
      1. any and all third party claims, proceedings, losses, liability, damages and/or costs (including legal fees on a solicitor and own client basis) arising from your misuse of the Metakey Platform and/or your breach of its Services, any warranty, representation, term or condition of this Customer Agreement; and
      2. any and all claims, proceedings, losses, liability, damages and/or costs (including legal fees on a solicitor and own client basis) from another user of the Metakey Platform and/or its Services, except to the extent caused or contributed to by Metakey or its employees, agents or contractors.

INTELLECTUAL PROPERTY AND USER CONTENT

  1. You agree that by Metakey making the Metakey Platform and/or its Services available to you:
    1. any software made available to you through the Metakey Platform, including all associated files, images, generated outputs, and data (collectively, the Software), is licensed to you by Metakey solely for the limited purpose of enabling your use of the Services while you remain a Customer, and only in strict accordance with this Customer No rights, title, or interest in or to the Software or any other Metakey intellectual property are granted, transferred, or assigned to you, or any other person that has access, whether authorised or not. Without limiting the foregoing, you must not:
      1. sell, redistribute, sublicense or otherwise transfer the Software or any rights in it to any third party;
      2. reproduce or copy the Software other than as strictly necessary for your permitted use;
      3. modify, adapt, translate or create derivative works based on the Software;
      4. decompile, reverse engineer, disassemble or otherwise attempt to derive the source code or human-perceivable form of the Software; or
      5. exploit the Software or any other Metakey intellectual property in any form or for any purpose not expressly authorised by this Customer Agreement.
        • Any breach of this clause is strictly prohibited and constitutes a material breach of this Customer Agreement.
    2. you will only use the Software for personal and private use in relation to the Services, and not for any commercial gain, which is not contemplated by this Customer Agreement;
    3. Metakey reserves all rights not expressly granted to you in this Customer Agreement; and
    4. all content, regardless of its form, published on or by the Metakey Platform and/or its Services, including the Metakey Platform and its layout, this Customer Agreement, the Privacy Policy, Cancellation Policy and all trademarks and logos displayed on or in the Software, are owned by Metakey or its licensors, and you are unauthorised to copy, edit or use them in any manner outside this Customer Agreement.
  2. You hereby grant Metakey, its affiliates, officers, directors, employees, consultants, agents and representatives a perpetual, royalty-free licence to use any data, information, text, images, documents, files or other material of any kind that you upload, submit, transmit, publish or otherwise make available to Metakey or through the Metakey Platform and/or its Services (User Content):
    1. for the term of this Customer Agreement; and
    2. solely for the purpose of providing its services under this Customer
  3. You agree that Metakey may disclose personal information and/or User Content where required to do so as a matter of law, or to assist any party in the resolution of a complaint or claim for civil relief in relation to activities by you or Metakey, in relation to the Metakey Platform and/or its Services;
  4. You warrant and represent that you own all rights to the User Content and are entitled to provide such User Content to the Metakey Platform without restriction, and that Metakey including its affiliates, employees, agents and representatives, may use such User Content without infringing any rights of any third party (including without limitation all intellectual property rights and rights of privacy and confidentiality) without otherwise giving rise to any risk of an adverse claim against Metakey including its affiliates, employees, agents and representatives;
  5. You acknowledge and agree that Metakey reserves the absolute and unconditional right to edit, suspend access to, or permanently remove any User Content from the Metakey Platform at any time, without notice and without being required to provide reasons to you. Without limiting the generality of the foregoing, Metakey will remove or disable access to User Content where:
    1. your account is suspended, cancelled or terminated for any reason;
    2. Metakey is required or directed to do so by any applicable law, court order, regulatory authority or government agency; or
    3. Metakey reasonably considers the User Content to be inaccurate, misleading, unlawful, offensive, in breach of any third party's rights, or otherwise inconsistent with this Customer Agreement.
  6. You have an ongoing obligation to monitor the accuracy and currency of all User Content you have made available through the Metakey Platform or Services. Without limiting that obligation, you must promptly edit, update or permanently remove any User Content if you become aware, or have reasonable grounds to suspect, that it is or has become inaccurate, incomplete, misleading, unlawful or otherwise no longer correct. If you fail to do so within a reasonable time of becoming so aware, Metakey reserves the right to remove or correct that User Content on your behalf, without notice and without liability to you.

PRIVACY POLICY AND DATA PROTECTION

  1. Metakey is committed to protecting your privacy and handling your personal information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), as well as any other relevant applicable law. Personal information collected from you will only be used for purposes directly related to your use of the Metakey Platform and/or its Services, including registering and maintaining your account, verifying your identity, processing payments, and facilitating bookings for car parking services.
  2. Metakey uses a number of third‑party service providers to store, process, and manage personal and financial information, including, but not limited to, Planyo, HubSpot, Stripe, Westpac Bank, Microsoft and Google (collectively, Third‑Party Providers). You acknowledge and agree that your personal information may be stored or processed by these Third‑Party Providers on secure servers located in Australia or overseas, including jurisdictions that may not have privacy laws equivalent to those of Australia.
  3. Metakey does not control and is not responsible for the privacy, security, or data protection practices of its Third‑Party Providers. By using the Metakey Platform, you consent to Metakey disclosing your personal information to these providers for the purposes of operating the Metakey Platform, processing payments, managing customer records, and providing related
  4. Metakey relies on the security, data protection, and privacy frameworks of its Third‑Party Providers. While Metakey takes reasonable steps to ensure that your information is handled securely, it cannot guarantee the security of data stored with or transmitted to these providers and does not accept liability for any breach, loss, or unauthorised access arising from the acts or omissions of these providers to the maximum extent permitted by law.
  5. If you withdraw your registration with the Metakey Platform and/or its Services, Metakey will, upon processing your request:
    1. remove your registration from the Metakey Platform;
    2. delete all personal information and financial information held within the Metakey Platform; and
    3. delete your booking history from the Metakey
  6. Following deletion, Metakey retains the ability to recover or restore your information for a period of up to 30 business days for system administration, troubleshooting, or legal compliance purposes. After this 30‑day period, all such information will be permanently deleted and will no longer be recoverable by Metakey.
  7. You acknowledge and agree that Metakey has no control over, and is not responsible for, the data retention, storage, deletion, or backup practices of any Third Party Provider used to support the Metakey Any such third‑party systems may retain data in accordance with their own policies and legal obligations, and Metakey cannot guarantee deletion of data stored with or processed by those providers.
  8. If you are a Customer booking on behalf of a Government agency or other organisation with specific privacy or data handling requirements, it is your responsibility to ensure that disclosure of personal information to Metakey, the Metakey Platform and its Third‑Party Providers, complies with any applicable internal or statutory obligations.
  9. As a Customer, you consent to the collection, use, storage, disclosure, and retention of your personal information as described in this clause.

WITHDRAWAL FROM MEMBERSHIP

  1. If you wish to withdraw your registration with the Metakey Platform, you may do so by submitting a written request to info@metakey.com.au, including your full name, contact details, and any information reasonably required for Metakey to verify your identity.
  2. Metakey will process these requests within 10 business days of receiving a valid You will receive written confirmation once this is complete.

CANCELLATION

  1. To cancel a booking, you must do so by logging into your account on the Metakey Platform. Should you require further assistance in cancelling a booking, you may submit a written request to info@metakey.com.au, including your full name, contact details, any information reasonably required for Metakey to verify your identity and your cancellation request.
  2. The Customer may cancel a booking at any time up to 11:59:59pm on the day immediately prior to the booking commencement date. If a booking is cancelled before this cutoff time, Metakey will issue a refund of the booking fee, excluding any bank fees, transaction charges, or other non‑recoverable costs incurred by Metakey in processing the
  3. The Customer agrees that no refund will be provided for any cancellation made on or after 12:00am on the day of the booking, as the booking will be deemed confirmed and non‑refundable from that time.
  4. Metakey reserves the right to amend this cancellation policy at its discretion to accommodate operational changes, evolving booking behaviours, or other legitimate business considerations.

SEVERABILITY

  1. If, for whatever reason, a court of competent jurisdiction finds any term or condition in this Customer Agreement to be prohibited, invalid or unenforceable, that term or condition will, as to that jurisdiction, be ineffective to the extent of that prohibition, invalidity, or unenforceability, without invalidating the remaining terms and conditions of this Customer Agreement.

WAIVER

  1. Metakey and/or the Metakey Platform shall not be taken to waive the enforcement of any of its rights, whether for past, future, or continuing breaches, contained under this Customer Agreement, unless made in writing and signed by an authorised representative of Metakey.

MEDIATION

  1. You agree and consent that:
    1. should a dispute with Metakey or its affiliates, officers, directors, employees, consultants, agents and/or representatives, arising out of or in connection with this Customer Agreement, the Metakey Platform and/or its Services you will notify Metakey by emailing info@metakey.com.au, including your full name, contact details, any information reasonably required for Metakey to verify your identity, and a clear and detailed description of the nature and circumstances of the dispute;
    2. before commencing any legal proceedings (other than seeking urgent injunctive or interlocutory relief), you must participate in any dispute resolution procedure that Metakey, in its sole and absolute discretion, directs you to undertake;
    3. if Metakey requires you to participate in a dispute resolution process (including mediation, conciliation, or any other process nominated by Metakey), you must:
      1. attend and participate in that process genuinely and in good faith;
      2. comply with any reasonable procedural requirements notified to you by Metakey or the appointed dispute resolution provider; and
      3. bear your own costs of participation unless otherwise agreed in writing or determined by the dispute resolution provider.
    4. this clause survives termination or expiry of this Customer Agreement.

ELECTRONIC COMMUNICATIONS

  1. To the extent that any communications between you and Metakey are via electronic means, such as by emails, text messages or by other electronic messaging services, you:
    1. consent to receive communications from Metakey in an electronic form; and
    2. agree that all notices, terms and conditions, agreements, disclosures and other communications that Metakey provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing.

GOVERNING LAW

  1. This Customer Agreement shall be construed in accordance with and governed by the laws of Victoria, Australia, and the Federal Laws of Australia where applicable.
  2. You hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in Australia in all disputes arising out of or related to the use of the Metakey Platform and/or its Services.

ENTIRE AGREEMENT

  1. This Customer Agreement constitutes the entire agreement between you and Metakey, relating to your use of the Metakey Platform and/or its Services.
